SMS compliance for A2P 10DLC messaging and toll-free number verification

Communication services through toll-free numbers

Customer support and service-related messaging

The specific scope of Services provided to you will be detailed in a separate Service Agreement or Statement of Work, which is incorporated into these Terms by reference.


USER RESPONSIBILITIES AND ACCOUNT SECURITY

To utilize our Services, you must provide accurate and complete information.

You are responsible for:

Providing complete and accurate information necessary for toll-free verification, SMS compliance, and telecom regulatory requirements.

Credentials:


Maintaining confidentiality of login credentials.

Compliance:


Ensuring your use of the Services complies with all applicable laws, including but not limited to:

CASL (Canada’s Anti-Spam Legislation)

A2P 10DLC requirements

CTIA messaging guidelines

Telecom carrier policies

Consent Collection:


You are responsible for obtaining proper express consent from end-users before sending SMS messages through our platform.

Cooperation:


Timely cooperation to resolve compliance or carrier-related issues.


PAYMENT TERMS

Fees are outlined in your Service Agreement.

Compensation may be based on:

Monthly subscription fees

Per-message fees

Invoices are due upon receipt unless otherwise stated. We may suspend Services for non-payment of undisputed fees.


DATA PRIVACY AND SECURITY

We comply with applicable data protection and telecom regulations.

INTELLECTUAL PROPERTY

All intellectual property rights in the Site, Services, processes, methodologies, and reporting templates remain the exclusive property of Greenhouse Canada Corp.

You are granted a limited, non-exclusive, non-transferable license to use Company IP solely in connection with the Services.


DISCLAIMER OF WARRANTIES

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Greenhouse Canada Corp. shall not be liable for:

Indirect damages

Consequential damages

Lost profits

Data loss

Our total aggregate liability shall not exceed the total fees paid in the six (6) months preceding the claim.


INDEMNIFICATION

You agree to indemnify and hold harmless Greenhouse Canada Corp., its officers, employees, and agents from any claims arising from:

(a) Your use of the Services
(b) Violation of these Terms
(c) Violation of telecom laws or SMS regulations


TERMINATION

We may suspend or terminate Services immediately if you breach these Terms or violate telecom or messaging regulations.


GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

Any dispute shall be resolved through binding arbitration in Alberta, Canada.


CHANGES TO TERMS

We may modify these Terms at any time. Continued use of Services constitutes acceptance of the updated Terms.
